VP Solutions provides event planning and coordination services for events such as birthdays, showers, private parties, weddings, corporate events, and festivals. The specific services included in each package are described on the Site and confirmed in your booking. We may modify, add, or discontinue packages and features at any time.

3. Bookings and Orders

When you purchase a package through the Site, you are making an offer to book our Services. Your booking is confirmed once we receive payment and send you a confirmation. We reserve the right to decline or cancel any booking — for example, if we are unavailable on your requested date or if the request falls outside the scope of our Services. The full details of your event will be confirmed during a consultation following your booking.

4. Pricing and Payment

Package prices are listed on the Site and are payable in full at the time of booking unless otherwise agreed in writing. Prices cover our planning and coordination services only; third-party costs such as venue, catering, rentals, décor, and vendor fees are separate and are your responsibility. We strive to keep pricing accurate, but prices and package contents are subject to change, and we reserve the right to correct any errors. Applicable taxes will be added where required.

5. Quotes

Any custom quote we provide is an estimate based on the information available at the time and is valid for the period stated in the quote. Final pricing for a custom event will be confirmed in your booking agreement.

6. Cancellations, Rescheduling, and Refunds

Cancellations, rescheduling, and refunds are governed by our Return and Refund Policy, which is incorporated into these Terms by reference. Please review it before booking.

7. Your Responsibilities

To allow us to deliver our Services, you agree to:

• Provide accurate, complete, and timely information about your event;
• Respond promptly to our requests for decisions, approvals, and information;
• Obtain any permits, licenses, or permissions required for your event where these are your responsibility;
• Ensure that you and your guests behave lawfully and safely at the event;
• Make all payments on time as agreed.

Delays or inaccurate information you provide may affect our ability to deliver the Services and are not the responsibility of VP Solutions.

8. Third-Party Vendors

As part of our Services, we may recommend, coordinate with, or engage third-party vendors on your behalf. These vendors are independent businesses, and we are not responsible for their acts, omissions, products, or services. Where you contract directly with a vendor, that relationship is governed by your agreement with the vendor. We will use reasonable care in selecting and coordinating vendors but do not guarantee their performance.

9. Intellectual Property

All content on the Site — including text, graphics, logos, images, and design — is owned by or licensed to VP Solutions and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission.

Unless otherwise agreed, we may take photographs or recordings of events we plan and use them for portfolio, marketing, and promotional purposes. If you prefer that we not use images of your event, please notify us in writing.

You agree not to use the Site or our Services to:

• Submit false, misleading, or fraudulent information;
• Infringe the rights of others;
• Interfere with or disrupt the Site or its security;
• Attempt to gain unauthorized access to any part of the Site or our systems.

12. Disclaimers

To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Services will not exceed the amount you paid to us for the Services giving rise to the claim.

You agree to indemnify and hold harmless VP Solutions and its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your event, your guests' conduct, or your violation of any law or third-party rights.

15. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, severe weather, government actions, public health emergencies, labor disputes, or vendor failures. In such cases, we will work with you in good faith to reschedule or reach a fair resolution, consistent with our Return and Refund Policy.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Mississippi. Before initiating any formal action, you agree to first contact us to seek a good-faith resolution.

17. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, Return and Refund Policy, and any booking agreement, constitute the entire agreement between you and VP Solutions regarding the Site and Services. Our failure to enforce any provision is not a waiver of that provision.

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the updated Terms.
